CONTRACT-OFFER

This Offer Agreement with the Buyer (hereinafter referred to as the “Offer Agreement”) is concluded between the Individual Entrepreneur Garrybaev Azat Bayrammuratovich (OGRNIP: 321774600733399, TIN: 772146734100), (hereinafter referred to as the “Seller”) and the person who accepted the terms of this public Offer Agreement by paying for Products in the Online Store (hereinafter referred to as “Buyer”).

Please carefully study the text of this Offer Agreement. Acceptance of this Offer Agreement by paying for Products in the Online Store means confirmation of the Buyer’s free will aimed at full and unconditional acceptance of the terms of this Offer Agreement and all other documents referenced in this Offer Agreement, and accession to this Offer Agreement on the terms below. For the purposes of this Offer Agreement, the Buyer and Seller are hereinafter collectively referred to as the “Parties“, and separately as the “Party“.

DEFINITIONS

For the purposes of this Offer Agreement, the definitions below will have the following meanings:

“Seller” – the owner of the website https://rusoft.store /, duly registered in accordance with the legislation of the Russian Federation as an individual entrepreneur.

“Buyer” is an individual who makes an order or purchase of Products, or has a desire to make an order or purchase Products and has accepted this Offer Agreement and the terms of the Related Documents.

“Products” are electronic activation keys (key type XXXXX – XXXXX – XXXXX — XXXXX) or accounts (account/account type login/ password) for software, including, but not limited to, operating systems, office programs, antiviruses.

Online Store – website https://advsoft.store / on the Internet.

SUBJECT OF THE CONTRACT-OFFER

1.1. The Seller undertakes to send the Products to the Buyer by e-mail to the address specified by the Buyer when placing the order. The Buyer undertakes to pay for the Products.

TERMS AND PROCEDURE OF SALE

2.1. To purchase Products, the Buyer places an order in the appropriate section of the Online store.

2.2. When placing an order, the Buyer provides the following data:

2.2.3. phone number.

2.3. The procedure for processing the data specified in clause 2.3 is determined in accordance with the Privacy Policy, which is an integral part of this Offer Agreement.

2.4. Sending Products to the e-mail address specified in accordance with clause 2.2. of this Offer Agreement is carried out by the Seller after receiving payment from the Buyer within the time specified when placing the order.

PRICE AND PAYMENT PROCEDURE

3.1. For the Products under this Offer Agreement, the Buyer pays the Seller the price specified in the description of the corresponding product.

3.2. Payment is made by the Buyer in the order of 100% (one hundred percent) prepayment and is considered to be made at the time the Seller receives payment confirmation from the corresponding payment system.

3.3. All payments under this Offer Agreement must be made by the Buyer in rubles in the way chosen by the Buyer when placing the order.

3.4. The Seller reserves the right to unilaterally change the price of Services for certain Services.

3.5. By accepting the terms of this Offer Agreement, the Buyer agrees that settlements under this Offer Agreement can be made by the Seller, including with the help of third parties – partners of the Seller. Accordingly, for the purposes of making settlements between the Seller and the Buyer under this Offer Agreement, the Buyer may need to accept the terms of the offer agreements of such partners of the Seller who help the Seller to make settlements with the Buyer, such as payment service providers, partner services, and other similar partner companies of the Seller.

3.6. The Seller is not responsible for the actions and (or) omissions of third parties specified in clause 3.5. of this Offer Agreement.

TERMS OF RETURN

4.1. The products are digital in nature and are not subject to return or exchange.

LIMITATION OF LIABILITY

5.1. The terms and conditions of use of the software, for the activation of which the Products are used, are determined by the copyright holders of such software. The Seller is not responsible for the use of such software on the Buyer’s device, as well as for the correct functioning of such software.

5.2. The Seller does not guarantee the possibility of using the Products to activate the corresponding software by Buyers located outside the territory of the Russian Federation, Ukraine, Kazakhstan, the Republic of Belarus. The Seller is not responsible for the inability of the Buyer to use the Products due to the Buyer’s presence outside the territory of the above-mentioned states.

VALIDITY AND TERMINATION

6.1. This Offer Agreement comes into force immediately upon acceptance of its terms by the Buyer, and continues in full force until the Parties fulfill their obligations.

RELATED DOCUMENTS

7.1. By accepting the terms of this Offer Agreement, the Buyer confirms that he accepts the terms of the Privacy Policy (Privacy Policy) related to this Offer Agreement and included in this Offer Agreement by reference.

7.2. The Buyer expressly agrees that all the terms of the Privacy Policy are included in this Agreement by reference and legally act in the same way and apply to the relations of the Parties under the Offer Agreement as if they were directly included in this Offer Agreement.

GENERAL PROVISIONS

8.1. This Offer Agreement, including all documents constituting the Offer Agreement or included in it by reference, constitute the entire agreement between the Buyer and the Seller and replace any previous agreements between the Buyer and the Seller.

8.2. This Offer Agreement is regulated and interpreted in accordance with the legislation of the Russian Federation.

8.3. The Buyer and Seller agree to submit to the exclusive jurisdiction of the competent courts of the Russian Federation regarding the resolution of any legal issues arising from this Offer Agreement.

8.4. To the maximum extent permitted by applicable law, the Seller reserves the right to modify, update, supplement, revise or otherwise modify this Offer Agreement to comply with new applicable legislation and/or regulatory legal acts, as well as from time to time to establish new or additional rules, policies or conditions regarding the Internet-the store, notifying or not notifying the Buyer about it.

8.5. If a court of competent jurisdiction finds any part of this Offer Agreement illegal, invalid or for any reason not enforceable, such provision will be considered separable from this Offer Agreement and will not affect the validity and enforceability of any remaining provisions.

8.6. The provisions of this Offer Agreement, which should remain in force for their intended purpose or in their essence after the Parties fulfill their obligations, will continue to apply after such termination for any reason.

8.7. The Buyer is not entitled to assign its rights and obligations under this Offer Agreement in whole or in part, and any attempted assignment in violation of this provision will be considered null and void. The Seller has the right to assign this Offer Agreement or any of its rights and obligations under it without the User’s consent at any time.

8.8. No waiver of proceedings in respect of any non-performance, condition or violation of this Offer Agreement will constitute a waiver of proceedings in respect of any other non-performance, condition or violation of this Offer Agreement, whether similar or different in nature.

8.9. Under no circumstances will the Seller be liable for any non-fulfillment of obligations arising from causes objectively beyond the Seller’s control, including without limitation: natural disasters, wars, terrorism, uprisings, embargoes, actions of civil or military authorities, fires, floods, accidents, strikes or lack of vehicles, fuel, energy, labor, or materials.

8.10. This Offer Agreement is a complete agreement between the Buyer and the Seller regarding the subject matter of this Offer Agreement.
